These Terms of Service ("Terms") govern your use of www.clojaxsaas.in and all services provided by CLOJAX SAAS SERVICES ("Company"). By engaging our services or using our website, you agree to be bound by these Terms.

1. Services

CLOJAX SAAS SERVICES provides web development, mobile app development, SaaS development, digital marketing, UI/UX design and cloud hosting services. Specific deliverables, timelines and pricing are defined in individual project agreements or proposals provided before project commencement.

2. Payment Terms

  • Advance Payment: 50% advance is required before work begins. The remaining 50% is due upon project completion before source code/files are delivered.
  • Subscription Services: Monthly retainer services (digital marketing, hosting) are billed monthly in advance. Services are suspended if payment is not received within 7 days of due date.
  • Accepted Methods: UPI, bank transfer, Razorpay (cards, netbanking, wallets), PayPal (international clients).
  • GST: 18% GST is applicable on all services as per Indian tax law. GST-compliant invoices are provided.

3. Project Timelines

Estimated timelines are provided in good faith. Delays caused by client feedback delays, change requests, or unavailability of required content/assets are not the Company's responsibility. The Company will communicate timeline changes promptly.

4. Revisions & Change Requests

Each package includes a specified number of revision rounds. Additional revisions or change requests beyond scope will be quoted separately. Major scope changes (significant feature additions) require a new project agreement.

5. Intellectual Property & Ownership

  • Business package and above: Full source code and all project assets are transferred to the client upon final payment.
  • Starter package: License to use the delivered website/app. Source code transfer available for an additional fee.
  • Third-party components: Open-source libraries remain under their respective licenses. The Company is not liable for third-party license violations introduced by client instructions.

6. Confidentiality

Both parties agree to keep project details, pricing and any proprietary information confidential. The Company may use the project in its portfolio unless explicitly requested otherwise in writing before project commencement.

7. Refund Policy

  • Advance payments are non-refundable once work has commenced.
  • If the Company is unable to deliver the agreed scope, a prorated refund will be issued for work not completed.
  • No refunds are issued for completed work that the client declines to use.
  • For monthly services, cancellation is effective at the end of the current billing period.

8. Limitation of Liability

The Company's total liability for any claim arising from our services shall not exceed the amount paid by the client for the specific service in question. We are not liable for indirect, consequential or incidental damages including lost revenue or business interruption.

9. Client Responsibilities

  • Provide accurate requirements and timely feedback during development
  • Ensure all content, images and materials provided do not infringe third-party copyrights
  • Maintain backups of all data hosted on client-managed infrastructure
  • Pay invoices on time per agreed payment schedule

10. Termination

Either party may terminate a project agreement with 14 days written notice. Upon termination, the client pays for all work completed to date. The Company retains no obligations for future deliverables.

11. Governing Law & Disputes

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in Nagpur, Maharashtra. Parties agree to attempt resolution through mediation before formal legal proceedings.

12. Delivery & Fulfilment Policy

CLOJAX SAAS SERVICES provides exclusively digital / intangible services. Deliverables are provided as follows:

  • Web & App Development: Delivered via deployment to client hosting or via secure file transfer within the agreed timeline.
  • Design Assets: Delivered as digital files (Figma, PSD, PNG, SVG) via email or shared cloud storage.
  • Digital Marketing: Ongoing service; monthly reports delivered within 5 business days after month-end.
  • Cloud Hosting: Access credentials provided within 24 hours of payment confirmation.

Delays caused by client-side factors (late content, delayed approvals, scope changes) do not constitute a breach of delivery commitment by the Company. For full refund and cancellation terms, refer to our Refund Policy.
